Term Definitions.

• Agrobeam website – https;//www.agrobeam.com herein referred to as the “Platform”. 
• The Platform is instituted, coordinated and controlled by Agrobeam International Limited; herein referred to as  ‘’We’’, ‘’Us’’, ‘’Our’’, ‘’Ours’’.
• These Terms and Conditions;herein referred to as the ‘’Policy’’ shall apply to the Platform, including all of its subsidiaries and affiliate Platforms which are bounded by reference to these Policy.
• User: an individual or group, registered or unregistered, who utilizes the features of the Platform or any of its subsidiaries or affiliates for the intents and purposes of the services the Platform and its subsidiaries and /or affiliates are structured/designed to provide.
• Account Owner: a registered user and member of the Online Agricultural Community.

• Buyer/Off-taker: A Platform user who makes use of the platform features to browse and select a product of interest among varieties of products.
• Seller/Vendor: A Platform User who owns a market spot using the Platfrom features to display, advertise and sell various range of agricultural products/produce/merchandise/commodities.
• Agricultural Produce/Product/Merchandise/Commodities: are items displayed by vendors/sellers with necessary information as offers to prospective buyers/off-takers. They are categorized and sub categorized.
• Dashboard: is an online spot for Account Owners that enable them to perform all associated commercial activities. 
• E-wallet: an online agricultural wallet designed and structured to accommodate sums or funds engaged in transactions and can be made available by transfer into owner’s bank account upon owner’s request.   
• Offer: a proposal containing all necessary information about a product of interest.
• Purchase Order: a paid order instruction containing all details about an offer from the Offeror (Vendor/Seller) and procured by the Offeree (Buyer/Off-taker)

• Blog: An online media platform for the profundity, exchange and discussions of ideas, topics, agricultural trends and many more.
• Chat: is a system designed for Buyers and Vendors to communicate on the Product of Interest in view of offer and acceptance.
• Perishable Products: Products that are likely to decay or get spoilt quickly
• Non Perishable Product: Products whose quality and quantity are likely to remain the same over some time.

General.

1 We reserve the right, to change, modify, add, or delete portions/parts of the Policy at any time. 

• You are advised to read and understand the contents of this Policy listed below and assent to this Policy before using this Platform, as your use of the Platform indicates your concordance to this Policy without any iota of exclusion.
• Update(s) to this Policy will be made available on the Platform and effective when posted on the Platform. 
• Users should always check our Blog section for update(s) in the Policy. The continuous usage of the Platform by you after the update(s) indicates your acceptance of the update(s) to the Policy.

• If any portion or part of this Policy is not understood by you, you are at liberty to contact us for explicit exposition of the confusing portion(s).

Usage Policy.

• Both parties (Agrobeam Int’l Limited and potential users) agree that this Platform may only be used in accordance with this Usage Policy. Otherwise, the user reserves the right not to use this Platform if he/she disagrees with the outlined policy of its usage. 

• Each user is hereby granted a terminable, non-transferable, non-exclusive, non-diminishable and revocable license to use this Platform, in accordance with the Usage Policy, for activities which include but not limited to shopping for agricultural produce/products sold on the Platform by potential vendors/sellers, gathering prior information regarding the products and services of listed vendors/sellers and making purchases. 
• Commercial use or Third Party usage (use for and on behalf of another party) of the Platform is strictly prohibited without an explicit approval to such usage given by us. Activities which include accessing our servers or internal computer systems, violation of any of our intellectual property rights, interfering in any way with the functionality of this Platform, gathering or altering any underlying software code or any other similar action or actions that unlawfully interfere(s) with our operations and functionality are strictly prohibited.
• Any action undertaken, consciously or unconsciously by any user or users and aimed at violating any part or parts of these Usage Policy shall result in the decisive revocation of the license granted in Clause 7 above without prior notice to such user. We reserve the exclusive rights to disallow, without any prejudice, such user(s) from using the Platform if a breach of this Policy is established.
• The services and features that are available or will be made available on the Platform requires registration, verification and/or subscription. Any user that makes use of such services or its related platform features hereby agrees to provide both current and valid information about himself/herself/business entity he or she represents and must immediately update such information on the Users dashboard.
• Every account owner is duly responsible for all activities executed on the owner’s dashboard. Therefore all passwords and other sensitive account-related  information are to be kept safe and secure by account owners. Any unauthorized access/usage of owner’s dashboard be reported immediately to us for proper recovery and/or preventive actions.
• During and after registration, user is bound to receive:
  • Emails confirming user’s registration,
  • SMS and/or push notifications.
  • Emails familiarizing user with the Platform’s features.
  • Promotional emails.
  • Other emails containing essential information.
• Promotional emails from the Platform will be sent periodically, user(s) reserve(s) the rights to choose or not to subscribe to these emails during registrations and may at any time unsubscribe if the user solely wishes.
• Users can also make use of the Blog on the Platform to discuss prominent and necessary topics related to agricultural products, produce, services or merchandise being searched for by the user or being acquired. Any offensive comment, post and/or sexually explicit contents, unwarranted, unlawful, damaging contents posted by any user will result in immediate banning of such user from using the Blog.
• Opinions, submissions and threads formed on the Platform or any of its related features are those of the user posting it and may/does not reflect our stance or position or opinion.
• The Platform shall not, in any way, be responsible or liable, directly or indirectly, for any loss or damage of any kind incurred as a result of, or in connection with, your failure to comply with Clause 6-15 above.
• Every user accepts, by the use of the Platform, that the information contained and as provided on the Platform is intended for information purpose only and that it is subject to change, update, addition or deletion without notice by individual posting it. However, we are dutifully tasked to ensure the accuracy of information before posting. Any information (accurate or otherwise) does not in any way reflect our representation or warranty or guarantee.
• Products’ Information expressed on this Platform are those of the vendors/sellers. Therefore, vendors/sellers are to be provide explicit and accurate information regarding their products of interest.
• The productibility, marketability, consumability and utility of products listed on the Platform is not in any way our direct representation. Furthermore, we hereby disclaim all warranties; expressed or implied regarding any product(s) of interest.
• With reference to Clause 19 above, we shall not be liable for any damage resulting from any operational and transmission error, omission, deletion, computer virus, communication failure and defect made available by the Platform. However, this disclaimer will be null and void where certain limitations and implied warranties are not permissible by some state laws.

Platform Accessibility.

• The Platform will be made available at all times. Nonetheless, we reserve the exclusive rights to terminate its availability without prior notice. Also, periodic and scheduled platform maintenance are bound to occur to pave way for the improvements of the Platform; users’ continued usage of the Platform indicate their concordance with certain interruptions that come with these periodic and scheduled maintenance.

Third Party Platforms and Links

• Third Party platforms and links may be connected to The Platform in the future. Such links and third party platforms should not be considered as our partnerships or affiliations unless it is clearly stated. However, businesses or transactions transacted with these links and third party platforms are at the sole discretion of the individual or user that transacts with/via the links and third party platforms; such individual does so at his or her own risk. We shall not be held accountable, responsible or liable for damages or information, misinformation, contents, products and services that may be encountered in the course of using these links or third party platforms.
• Any link (expressed or implied) created to this Platform without our written consent is a violation of this fundamental Policy. In addition to that, the exclusive right to revoke our license with reference to Clause 7 without notice or justification or prejudice remains vested in us.

Information Protection

• Agrobeam guarantees that any information; personal or group, individual or corporate supplied on the Platform or to us shall:
  • be kept safe and secure. 
  • will only be used for the purpose of which it was requested or supplied for.
  • will not be disclosed to any Third Party.

Contract Policy.

• Both parties (Buyers and Sellers) accept that an offer is only made once buyer selects the product(s) of interest, choose a preferred method of payment and complete the checkout process.
• Offers are approved as accepted when Buyer is informed by Agrobeam of the product(s) ordered and being dispatched either by phone or by email and not when Seller contacts Buyer by phone or by email to confirm that the order has been placed on the Platform.
• During confirmation of an order, a Buyer may be asked to provide additional necessary information for verification such as phone number, address  and any other information to ensure the conveyance of the ordered commodity to the appropriate Buyer’s reception address. 
• During the completion of an order, user is bound to receive
  • Emails confirming user’s order
  • Review order emails
  • SMS and/or push notifications.
  • Other emails containing essential information.
• The Platform reserves the right to decline or cancel any order for any reason, provided that such order cannot be processed for various reasons with an explicit explanation made to parties involved highlighting the reason(s) for cancellation.

Pricing Policy

• All Vendors/Sellers reserve the right to fix the price of any of their agricultural product/produce/commodity/merchandise. However, we strongly recommend that those prices affixed to a particular commodity are in tandem with the current market values which concord with the principle of demand and supply. 

Payment Policy

• All payment are to be made to specified account on the Platform via the payment methods indicated on the Platform.
• Once payments are made, amount paid will instantaneously and automatically reflect in the E-wallet on the payer/payee’s dashboard and a withdrawal requests can be made by the account owner within which all withdrawal requests are approved and funds paid from the instant it was approved to a period of Three (3) hours from approval.
• Exception to the above Clause 32 occurs when a Vendor makes a withdrawal request for payment made by a Buyer for an Order and the Purchased Commodity has not been certified and confirmed received by the Buyer. In view of the foregoing, a withdrawal request from a Vendor’s e-wallet is approved upon certification and confirmation that the commodity purchased by the Buyer is received as offered and ordered. 

Return Policy

• Upon the receipt of an agricultural commodity ordered by the Buyer, the Buyer is required by this Policy to file for a return of such commodity if it is NOT in concord with what was offered by the Vendor and ordered by the Buyer.
• With reference to Clause 34 above, the Buyer who files for a return of such commodity must do so within 12 hours for perishable commodities and two (2) days for non-perishable commodities. And such commodities must be in good standing in both quality and quantity, must not be opened or broken (for concealed products) and must be in state as received by the buyer.
• Upon filing for a return of the commodity, buyer must be available when contacted to transmit the commodity to the seller as received.
• It will be regarded that the buyer accepts the product if no request for return is made within the stipulated period as referenced in Clause 35 above.

Refund Policy- Buyers’ Protection.

• Buyer who filed for a return of commodity within the stipulated period as clearly stated in our Return Policy above shall have a refund of his or her money within ten (10) business days.

Agent Policy.

• All agents must register and own an account with the Platform.
• Registered agents must provide all necessary verification documents as required on the Platform.
• Order instructions for pick-ups and deliveries are provided on the agent’s dashboard for implementation;  follow-up calls, emails and SMS are also sent to agents as per order instructions.
• Agent commissions per execution of order will automatically reflect in the E-wallet on the agent’s dashboard and can be withdrawn upon request by the agent.

Intellectual Property

• All Intellectual Property Rights which include but not limited to database rights; designs, information, contents, information/data contents, sound, text, graphics, videos, music, software, source codes, documentation and so on, registered or unregistered on the Platform shall at all times remain our exclusive Intellectual Property Rights and/or that of our Licensors. 
• Any unauthorized use of the above-listed materials and contents without a written approval by us or our licensors is strictly prohibited. Unauthorized use such as to transmit, distribute, copy; reproduce, publish or create derivatives of by any individual or third party.  

Jurisdiction and Law Applicability.

• This Policy is subjected to the sacrosanct laws of the jurisdiction of its operations and remains applicable and in consonance with the standing laws of such jurisdiction. 

Indemnity.

• With the usage of the Platform by any user, such user accepts to strictly abide by this Policy and in the event of a violation of any of the clause encapsulated in this Policy, the user further agrees to indemnify us of any claim, demand or legal fees that may arise from the user’s violation of this Policy.

 

Arbitration.

• In the spirit of arbitration; any controversy, claim or dispute which may arise from the violation of this Policy shall be referred to any competent arbitration panel within the jurisdiction of our operation for settlement in accordance with  Arbitration and Conciliation Act Laws of the Federation of Nigeria 2004, as amended. Furthermore, the Platform reserves the right to procure through any competent court, an injuction or remedy for the utmost protection of intellectual property rights and confidential information.

Electronic Documents Acceptability.

• Users accept that all electronic documents, agreement and/or communications provided by us constitute and satisfy any legal provision with which they can be regarded as being written.

Survey or Qualitative Sampling.

• Any dissatisfied user of the Platform reserves the right to inform us on how to make the Platform better as we are not conservative in our opinions and modality. However, we will conduct a survey or qualitative sampling for the propositions or suggestions and implement the outcome in accordance with our unique user experience development technique.

Termination.

• We reserve the rights to terminate violator’s usage of the Platform and revoke such rights vested in this Usage Policy without any prior notice. 

Severability.

• If any competent court affirms that any portion or portions of this Usage Policy is invalid or cannot be enforced, such portion or portions shall be expunged from this Policy and shall not affect the validity and implementation of other portions as clearly stipulated in this Policy document.

Force Majeure

• In the event of extraordinary circumstances, natural or man-made beyond our control and that which may cause a delay in the provision of designated services, we however, will not be held responsible for such delays or its effect on the user(s). None-the-less, we shall communicate, from time to time, the  cause(s) of delays to concerned user(s) and the state of service delivery.
